Mobileye returns to public markets on Nasdaq

Mobileye priced its Nasdaq initial public offering at 21 dollars a share and sold 41 million Class A shares, with a large part of the proceeds earmarked to repay a note owed to parent company Intel.

A listing on the Nasdaq Global Select Market

Mobileye priced its initial public offering at 21 dollars per share.[1] The offering comprised 41,000,000 shares of Class A common stock.[1] The shares began trading on the Nasdaq Global Select Market on 26 October 2022 under the symbol MBLY.[1] The offering was expected to close on 28 October 2022.[1]

An initial public offering is the step in which a company sells shares to outside investors and has those shares listed on an exchange, so that they can afterwards be bought and sold by the public. Pricing is the moment when the company and its underwriters fix two numbers at once: how many shares are being sold, and at what price. Trading usually starts the next morning, while the sale itself is settled a few days later, at closing. Mobileye's filing followed that pattern: its registration statement became effective on 25 October 2022, the day before the shares started trading.[1]

The structure of the deal

The offering was not only a straightforward sale of 41 million shares. Two further elements were attached to it.

First, the underwriters, the banks that organise and place the sale, held a 30-day option to buy up to 6,150,000 additional shares at the offer price.[1] Options of this kind let the banks cover extra demand from investors, or stabilise trading shortly after listing, without the company having to commit to a larger sale up front. The number of shares finally sold therefore depends on whether, and how far, that option is exercised.

Second, the investor General Atlantic agreed to buy 4,761,905 shares in a private placement at the offer price, for 100 million dollars.[1] A private placement is a sale of shares negotiated directly with a specific buyer rather than sold through the public offering; pricing it at the same 21 dollars per share meant the buyer came in on the same terms as public investors. The two parts together are what the company reported on the day it announced the pricing.

Where the money goes

Mobileye said its net proceeds from the offering were expected to be about 0.8 billion dollars, before any exercise of the underwriters' option.[1] Net proceeds are what remains of the gross amount raised after the fees and expenses of the transaction are deducted, so the figure is smaller than 41 million shares multiplied by the offer price.

Mobileye also said that a significant portion of those net proceeds would be used to repay a note owed to its parent company Intel.[1] That detail shapes how the transaction should be read: the listing raised fresh capital from public investors, but a large share of it went back inside the corporate group rather than into the operating business, reducing what Mobileye owed to Intel.

What the listing changes

With the shares trading under MBLY, Mobileye moved back onto a public exchange, and its equity acquired a price set every day by buyers and sellers rather than by private negotiation. The offering also widened the shareholder base: alongside its parent company, the company now has public holders of Class A stock and a named institutional investor that took a stake through the private placement.

At the same time, the deal shows how much of an offering is engineering rather than a single event. The offer price, the size of the share sale, the option granted to the banks and the private placement were all set together, and the use of proceeds connected the new public money to an existing obligation inside the Intel group. For readers following the company, those are the details worth holding on to: how many shares, at what price, on which market, and where the money went.
