CoreWeave raises a $1.1 billion Series C at a $19 billion valuation

On 1 May 2024 CoreWeave announced a $1.1 billion Series C round led by Coatue at a $19 billion valuation, up from $7 billion a few months earlier, and weeks later closed a $7.5 billion debt facility led by Blackstone.

Background

CoreWeave builds and operates data centers, and by 2024 it was expanding that footprint quickly. The company had raised money in earlier rounds, among them a $420 million round in April 2023 and a $642 million secondary sale in December 2023[2]. A secondary sale is a transaction in which existing shareholders sell their shares; the buyer pays the selling shareholder, not the company. When the May 2024 financing was announced, CoreWeave operated 14 data centers, all of them in the United States, and it planned to have 28 running by the end of 2024[1].

The Series C

On 1 May 2024 CoreWeave announced it had raised $1.1 billion in a Series C round led by Coatue[1]. A Series C round is a later-stage equity financing: investors buy newly issued shares and in exchange own a slice of the company, and the money goes onto the company's balance sheet to be spent rather than borrowed and repaid with interest.

The round valued CoreWeave at $19 billion, up from $7 billion a few months earlier, according to a person familiar with the matter cited by CNBC[1]. A valuation is the price a financing puts on the whole company; a jump of that size over a short period means the new investors were willing to pay far more per share than earlier ones had.

Magnetar, which had led the company's previous primary round, also took part, together with Altimeter Capital, Fidelity Management and Lykos Global Management[1][2].

CoreWeave said the capital would help it set up data center infrastructure in more locations worldwide[1]. That marked a change of emphasis from what it described at the time: every one of its 14 sites was in the United States, with plans to reach 28 by the end of 2024[1].

The debt facility

Later the same month the company closed a $7.5 billion debt facility led by Blackstone, with Magnetar and Coatue participating as well[2]. CoreWeave called it the largest private debt financing of all time[2]. Debt works differently from equity: the lenders do not receive shares, but the company commits to paying the money back with interest, and a facility of this kind is arranged privately with a group of lenders rather than sold to the public.

Building data centers is capital-hungry work. Land, buildings, power and hardware all have to be paid for long before the capacity earns anything, which is why companies in that position often pair equity — money they are not obliged to repay — with large debt facilities sized against the assets they are building.

The totals by mid-2024

In a retrospective, CoreWeave counted roughly $12 billion raised in equity and debt by mid-2024, a figure that included the $420 million round in April 2023 and the $642 million secondary in December 2023[2]. Read together, the two transactions of May 2024 show the shape of the financing behind large data center buildouts: a fast-rising equity valuation on one side, and a very large privately arranged loan on the other, closed within weeks of each other[1][2].
