Salesforce agrees to acquire Informatica for about $8 billion

Salesforce agreed in May 2025 to buy data-management company Informatica for about $8 billion, folding its catalog, integration and governance products into Salesforce's platform for agentic AI. The deal closed on 18 November 2025.

What was announced

On 27 May 2025 Salesforce and Informatica announced a definitive agreement under which Salesforce would acquire Informatica for approximately $8 billion in equity value, net of Salesforce's existing investment in Informatica[1]. Holders of Informatica's Class A and Class B-1 common stock were to receive $25 in cash per share[1].

Informatica's business, as Salesforce described it in the announcement, covers a set of data-management functions: a data catalog, integration, governance, quality, privacy, metadata management and master data management (MDM)[1]. These are the pieces an enterprise needs before its data can be used reliably: a catalog records what data exists and where; integration moves it between systems; governance sets rules on who may use it and how; quality checks whether it is accurate and complete; privacy controls handle personal information; metadata management tracks the descriptions and lineage around the data; and MDM keeps a single consistent version of core records such as customers or products.

How the two sides framed it

Salesforce said the combination of those Informatica capabilities with its own platform would create a trusted data foundation for agentic AI across Agentforce, Data Cloud, MuleSoft and Tableau[1]. "Agentic AI" here means software agents that carry out multi-step tasks on their own rather than only answering a single question — which only works if the data the agents read and act on is consistent and well governed. The four products named are the places that data would flow: Agentforce for agents, Data Cloud for customer data, MuleSoft for connecting systems and Tableau for analysis.

Deal mechanics and approvals

The merger agreement was signed on 26 May 2025[2][3]. Holders of about 63% of Informatica's voting power gave written consent, so no further shareholder vote was needed[2][3]. Salesforce funded the deal with balance sheet cash plus new debt, including up to $4 billion of unsecured borrowings[2].

In the United States, larger mergers must be notified to the antitrust agencies under the Hart-Scott-Rodino process, which imposes a waiting period before the parties may close while the deal is reviewed. The US Federal Trade Commission granted early termination of that waiting period on 28 August 2025[2]. Salesforce completed the acquisition on 18 November 2025, ahead of the originally expected early fiscal 2027 close[2][3].

Two different numbers

Salesforce's annual report for the fiscal year to 31 January 2026 put the fair value of consideration at about $9.6 billion — $9,538 million in cash plus $62 million and $36 million of other components[3]. That is an accounting measure, distinct from the $8 billion headline equity value announced at signing[3]. The gap is a reminder that the headline figure in a press release and the purchase price a company records in its accounts answer different questions and are measured at different moments.

Why it matters

The acquisition added a mature portfolio of data integration and governance products to a company whose recent product story is built around agentic AI and the data platforms underneath it[1]. For customers, the practical question is how tightly those data-management tools end up wired into Agentforce, Data Cloud, MuleSoft and Tableau[1]. The timing is notable too: the transaction went from announcement to close in under six months, with the consent of a large majority of Informatica's voting power removing the usual shareholder vote and the antitrust review ending in late August 2025[2][3].
